3. Public Participation [Per Town Council Rules, this segment of the meeting shall not exceed thirty (30) minutes unless extended by the Mayor, with the consent of the majority of the Town Council.]
Mike Sullivan, 24 Jared Court - Connecticut Studios, Evergreen Walk Recreation Center - very upset how the Town brings up projects. Feel the elementary schools should be discussed not Recreation Center. Consultant that was used for CT Studios was consulted for Recreation Center. CT Studios was going to use solar project. submittal that Ct Stuidos put in. listened to tape from last September 2011 TM said that Dan Marsh prepared numbers for the solar project. Town resources are be used to validate projects. Would like to know the result of that study. if we are paying consultants for different projects, the residents should be allowed to review. if this developer did go through with solar, there was a deadline of October 2012 - would like to know if this project is really happening.
John Evans, Attorney DCK - has first mortgage on the property. like you DCK is steak holder in this project. we have all been following this project very closely. We have all seen that this project is tracking properly. we find ourselves frustrated at the pace of this project. some of that is a result of 3rd parties. the town and dck are both at a critical point. DCK has all remedies available to them for the entire amount of the loan. at this point DCK has decided not to go to those yet. DCK by the terms of the deeds themselves construction began on the property before October. DCK does not authorize such acts. if necessary DCK will protect their interest in the property which would include foreclosre of th eproperty if necessary. if CT Studios doe snot move forward quickly then the legal entanglements await us. would like to be included in the discussions of this project.
Michael Sullivan, 24 Jared Court - DCK may have extended mortgage - DCK are they engineer (contractor) for the CT Studios.
Al Larson, 46 Jacques Lane, Recreation Center, 1999 there was a Task Force put together for aquatics. 16 VMP, 16 Indoor pool. as part of the research West Hartford was visited. Nov 20th Dr. Anwar had article in the JI - he felt that the aquatics and the rink are not money makers. if they are not he said we should not do it. He knew that from the start. this would be another asset in the town inventory. we need an indoor pool. we need additional gym, activity rooms, larger senior center. this recreation center would solve all of these needs. AT the October meeting the hockey folks presented their plan but the Recreation plan was never presented. at the November 19th meeting it was stated that there was no project yet. Hope we get those analysis soon.
4. Communications
Mayor - recognized two new Eagle Scouts, Matthew Braddock and Cohen, retirement Larry Skilton from Volunteer Fire Services, SW High school celebrated its 50th Anniversary. On 12/15 Wreaths Across America will be held and then wreathes will be placed on Veterans graves held at 12:00 p.m. at VMP.

A. Connecticut Studios
Mayor - in preparation for tonights meeting there were questions that were asked and some could be discussed in public and some in Executive Session. Do we have the final version of agreement, and has it been reviewed? Matt - did receive copy of ppa but it was not a signed copy. this document was changed. solar was the way to go and then the state said fuel cells were the way to go. We only have some information - looks like a good agreement but it is not signed. Mayor - so it has not been exectuted? Matt - everyone wanted the appraisal done - that appraisal has been done and is key because it is needed to final agreements financially. thre are questions on the appraisal that need answers. Mayor - any proof or evidence that fuel cell agreement is final? Matt - need to sign and have agreement go through process. Mayor - final finances in place? Matt - no can not be finalized until appraisal is complete. do not have finacl docuemnt. Mayor - infrastructure improvements? Matt - believe DCK was doing those numbers. we do have costs of Towns infrastructure but need the rest. Mayor - terms Matt - there were four items that were going to be put into an agreement - sent that to the developer but they have not responded. feel they have a different view. Mayor - lien been removed? Matt - no Mayor - is there any financing for hotel? Matt - statement that says 6 months after studios is built the hotel would start. McCann - developer pulled any permits other than the shack that was not part of the proposed project? Matt - no McCann - any closing scheudled? Matt - do not think you can until you finiish the process - fuel cell. McCann - not have scheduled hearing? Matt - everyone is waiting for the appraisla and the commitments are finalized. McCann - any agreement with the infrastructure? Matt - they have to have agreement with us. need all of the final commitments. Dwight - we did receive November 15th a very rough scheudle that stated consolidated closing 19-180 days. Matt - ther eis a memorandum of understanding for the hotel property. McCann - what steps have been taken? Matt - ppa they have spent a lot of time on. McCann - fuel cells are contingent on approvals by pura McCann any indications from pura? Matt - they look at project positively. McCann - I support this project but would like to know that it is going to work and get done. In executive session would like to know why we need to go into executive session otherwise not willing to go into executive session Yagaloff - infrastructure (roads, electrical conduits, sewer and the major components of that road and utilities) the purchse and sales agreement had TIF and that is no more. There is no infrastructure agreement - has the developer come to town with proposal for infrastrcuture. Matt - not at this time, waiting for all other final commitments. Yagaloff - does the developer state why they stated there is an infrastructure agreement. Matt - i think they know there is no agreement. Yagaloff - I do not intend to make any comments on what the attorney for DCK has stated. TC not happy about this - silence at this pont is to have discusions with attorneys first. not right time to comment on that. Mayor - need to discuss some of the issues with our TA. Anwar - progress of project - many of the things that have delayed project is not in control of the developer Matt - when this project was going, there was all of a sudden a recession that has made the progress of this project difficult because TIF bonding went away. the solar thing and the State wants fuel cells. there are a lot of things that took place where thngs changed. Anwar - a lot of the things that have delayed it are not in control of the developer? Matt - right - recession Anwar - I have never heard that there Matt - they have always pursued it and have been spending money. they are constantly hiring peopel to move this project forward. Anwar - I have never seen lack of intention of the developer going forward. Matt - if you look at one aspect - Anwar - all looking at financail viability.
Tony - 30 days ago I was sitting in RI waiting for - EDC stated the agreement was not ready - was told needed to get certain things done. EDC wanted to see financial stack, tax credits sold, etc. plus the wanted to validated the number of tax credits assuming. for the last 30 days we have supplied significant documents to EDC. Was also working with Ocean Capital - will be paying fees twice because of time lines. DECD will get final commitments and then the ppa will be signed. two weeks into the 30 days that council gav me I needed the appraisal which has been promised for 6 weeks. once have appraisal then things will go forward. we received the appraisal Wednesday before Thanksgiving. this past weekend we have worked o it and have asked for everyone comments which we got and then asking for final appraisal. once get final appraisal can get final commitments. just finalized the construction costs and gone through three diferent runs - think we have a good number. we have been working with the town on the same budget. the soil engineers made a recommendation to surge - have one other company to make sure getting the right number. this is the second time we have had to redesign the site. have been working with group out of California and have asked them if they are interested in putting 10M in for CT Studios. we have all of th epermits. we put up a construction bond with the town. we have recorded approximately 137 documents. Hotel 122 room Hilton Hotel. 6 months of the beginning of construction for the studios, the hotel will begin construction. suggest have the council nominate a couple of people that ct studios could give updates to each week. received closing documents. company says have tax credits. 99% of all of the credits have been sold.

McCann - heard there are permits? Tony - working toward agreement with Andre Charbonneu - put up 50,000 bond - ready to pull permits. McCann - have you paid permit fees? Matt - thought it was on Charbonneau property - so check went back Tony - 2-3 weeks after getting appraisal should be able to get permits. McCann - before the end of the year? Tony - McCann - permit and time frame - what is the time frame to get this done. Tony - the power purchase agreement - McCann - when this project first came forward there was TIF - to put hotel up would it be necessary to have tax abatement Tony - no we will put into agreement Matt -

Beaulieu - there is a potential new investor - where would this investor come into Tony- just equity. Will have weekly discussions
Bazzano go into executives session at 8:23 p.m. to dsicuss CT Studios, (dan marsh, tony, john evans) and potential litigation, Snyder second McCann - willing to go into executive session to discuss items that are truly confidential - do not want to get into discussions that are beyond that that can be discusse din public. unanimous.
C. To discuss a personnel issue.
D. To discuss possible purchase of real estate for the Town (King Street and the corner of Sullivan Avenue & Troy Road).
